National Highway Authority of India was set up by an act of the Parliament, NHAI Act, 1988 “An Act to provide for the constitution of an Authority for the development, maintenance and management of national highways and for matter connected therewith or incidental thereto”. NHAI’s objective is to ensure that all contract awards and procurements conform to the best industry practices with regard to transparency of process, adoption of bid criteria to ensure healthy competition in award of contracts, implementation of projects conform to best quality requirements and the highway system is maintained to ensure best user comfort and convenience.

National Highways Infra Trust (“the Trust”) was set up by National Highways Authority of India (NHAI) (“the Sponsor”) on 19th October 2020, as an irrevocable infrastructure trust under the provisions of the Indian Trusts Act, 1882. The Trust was registered as an Infrastructure Investment Trust on 28th October 2020, under the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014 (“SEBI InvIT Regulations”) having registration number IN/InvIT/20-21/0014. The Investment objectives of the Trust are to carry on the activities of, and to make investments, as an Infrastructure Investment Trust, as permissible in terms of the applicable law.             

The trustee oversees our activities and ensures compliance with regulations. IDBI Trusteeship Services Limited, the Trust’s appointed trustee, holds registration under SEBI regulations as a debenture trustee. Located in Mumbai, it was jointly established by IDBI Bank, LIC, and GIC to provide corporate and other trusteeship services. National Highways Infra Investment Managers Private Limited (“NHIIMPL” or the “IM Company”) is a Private Limited Company incorporated on July 25, 2020, under the Companies Act, 2013 and is a wholly owned subsidiary of the Government of India acting through the Ministry of Road Transport & Highways (MoRTH). It was set up to act as the Investment Manager to the Infrastructure Investment Trust (“InvIT”) and is the Investment Manager of the National Highways Infra Trust (“NHIT” or “Trust”).

Under the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations,2014 (“InvIT Regulations”), NHIIMPL is, inter-alia, responsible for all the decisions in relation to the day-to-day management and administration of InvIT assets and the investments of the trust as may be incidental or necessary for the advancement or fulfilment of the investment objectives of the trust in accordance with the InvIT Regulations.

NHIPMPL or “Project Manager” was incorporated as a private limited company on9th March 2021 under the Companies Act 2013. The Project Manager is a wholly-owned subsidiary of NHAI.
